The Deputy General Manager is responsible for overseeing the legal, litigation, insolvency, enforcement, and contract management functions of the company. This includes managing legal risks, handling court proceedings, and supporting business processes, particularly those related to credit contracts. The role also involves managing corporate governance duties, ensuring compliance with internal procedures, and providing strategic oversight for facility management and real estate development.
This position requires a legal expert with experience in good understanding of the operational needs of a growing organization and expertise for real estate and facility management projects.
Key Responsibilities:
1. Legal, Litigation & Contract Management:
Oversee all legal matters, including drafting and reviewing contracts, particularly those related to the crediting process.
Provide legal support for the credit department, ensuring that loan agreements, collateral, and contractual obligations are legally sound.
Represent or coordinate with external counsel in litigation cases, both civil and commercial.
Manage insolvency cases, restructuring strategies, and enforcement procedures for debt recovery and contract enforcement.
Handle legal disputes involving the company, including drafting court documents, attending hearings, and coordinating with litigators.
2. Development and Implementation of Procedures and Norms:
Assist in the establishment and monitoring of internal procedures, policies, and norms, ensuring alignment with legal and regulatory standards.
Review and optimize existing procedures, especially in relation to credit risk management and compliance with applicable regulations.
3. General Secretary Functions:
Ensure corporate governance standards are adhered to and that the company complies with statutory obligations.
Prepare, review, and file corporate documents, including board resolutions and regulatory filings.
4. Facility Management & Real Estate Development:
Supervise facility management operations, ensuring that all physical assets are maintained according to safety and regulatory requirements.
Oversee real estate development projects, ensuring compliance with construction regulations and managing relationships with contractors, architects, and developers.
5. Court Experience & Litigation Support:
Coordinate with external legal counsel in more complex litigation cases, overseeing legal strategies and ensuring timely resolution.
Provide legal advice on matters that may escalate to legal disputes, ensuring the company’s interests are safeguarded.
6. Compliance & Risk Management (Secondary Focus):
Ensure adherence to basic compliance standards, including KYC/AML where necessary.
Assist in managing the company’s risk management framework, particularly in relation to legal and contractual risks.
Qualifications & Experience:
Education:
Bachelor’s or Master’s degree in Law (Bar admission is a plus).
Experience in Facility Management, Real Estate, or Compliance (KYC/AML) are beneficial.
Experience:
Minimum of 7-10 years of experience in legal roles, with a focus on contract law, litigation, insolvency, and corporate governance.
Strong knowledge of contract management, particularly in crediting, financial transactions, and risk mitigation.
Familiarity with facility management and real estate development projects.
Skills:
Advanced legal skills in contract law, litigation, insolvency, and risk management.
Excellent written and verbal communication, with the ability to represent the company in legal disputes and negotiations.
Strong leadership and organizational abilities, able to manage cross-functional projects and legal teams.
